The information on this page is for illustrative purposes only, to approximate what a Customer can expect in our agreement.
1. Interpretation
We define shorthand or general words, for example the "Customer" meaning you, and the "Specification" being the description of services we provide to you in writing. Writing includes email.
2. Basis of Contract
You are purchasing services from us in accordance with the agreement. It's deemed accepted once you provide written acceptance. Samples and descriptions on our website are to give you an approximate idea of what we can do, they don't have any contractual force.
3. Services
What we provide (design, development, management, maintenance.) Minimum term time as shown on the website, or as renegotiated beforehand. If you have unlimited edits, we also state the abuse guardrails.
4. Customer's Obligation
We'd like you to provide a logo, and if possible any text, images, or fonts you want us to use. We expect you to cooperate with us regarding feedback and required approvals. If there's something crucial you fail to provide, we may have to suspend our services.
5. Charges and payment
Payment structure depending on your solution. If you cancel before the end of a minimum term, you still have to pay. Add-ons may incur extra costs, which shall be agreed upon in writing. If you're over a week late on payments there's a £25 late fee.
6. Intellectual Property Rights
Essentially, we own what we bring to the table, and you own what you bring. If you purchase the website design, you will also own that but we are free to reuse any underlying code snippets for future work.
7. Data protection
Both parties will comply.
8. Limitation of liability
If something goes wrong, we aren't liable unless it's something we aren't allowed to limit. If the web hosting has downtime, we will notify you and apply refunds.
9. Website Downtime and Errors
If there's downtime, we refund for double the value of the lost service period. If there's a security breach we will assist in restoring the website using our backups.
10. Third Party Tools
We will licence any third-party software used for your website.
11. Termination
Cancellation policy as shown on the website depending on your solution. If there's a contract breach, either party may cancel the contract immediately by providing written notice if it's not remedied within 21 days of being notified in writing. If you miss a payment we may cancel immediately.
12. Consequences of termination
When the contract is terminated, you will pay any outstanding invoices. If we supplied services without submitting an invoice, we will send an invoice.
13. Force Majeure
If either party fails or delays in performing an obligation due to something beyond reasonable control, it doesn't count as a breach of contract.
14. Confidentiality
Neither party will disclose any confidential information concerning the other party until two years after termination. This doesn't apply to employees or advisers who need to know the information, or if it's required by law.
15. General
If one party breaches a provision in the contract, the other party may waive it with their written consent. The contract may only be varied if both parties sign a written document.
